Terms of Service & End-User License Agreement
Last updated: 20 October 2026
These Terms are written in English, which is the authoritative version. Any translation (including the Polish section below) is provided for convenience only; the English version prevails in case of any discrepancy.
20 October 2026: section 4 now says that an organisation may reassign a seat from one person to another, for example when someone leaves the team; the license stays with the organisation that bought it. Section 11 now says that a version older than the minimum supported version may stop working until you update it, that the update is free under your license, and that while perpetual licenses limited to version 1.x exist, the minimum supported version will never be higher than the latest 1.x release. The Refund Policy now says that a refund revokes the license, as section 8 already did. Prices, seats and the 14-day refund window are unchanged.
19 October 2026, licenses: section 4 now defines a seat as one person, on all of their computers, and says what a perpetual license covers: every 0.x and 1.x version, including versions released after your purchase, and every 2.x version as well if version 2.0 is first released within 12 months of your purchase. Before, it said the versions released during your included update window. The team plans are now named Team 3 (3 seats; until now sold as Pro, with up to 5 seats, at the same price) and Team 10 (10 seats; formerly Team), and prices are unchanged. Section 11 now says the same about updates, and that before any version 2.0 we will publish how long version 1.x keeps receiving security fixes. A license bought before this change keeps the seats, tier and update entitlements stated when it was bought, as section 4 says.
19 October 2026: section 8 now also names the check when SSMS starts and loads SQL Sage, so an installed license is validated even if you never open the SQL Sage panel. What is sent is unchanged: only a license identifier, over HTTPS, and only for an installed license. This applies from the SQL Sage version that adds this check; earlier versions make their first check when the panel starts. Section 11 now describes the update check as it has worked since SQL Sage 0.31.2: anonymous HTTPS requests to a static version file when the panel starts and about every 6 hours while SSMS stays open, which you can turn off in settings. Before, it said a single request.
17 October 2026: section 8 now says that, besides the checks at panel start and after you enter a license key, SQL Sage validates an installed license about every 12 hours while SSMS stays open. What is sent is unchanged: only a license identifier, over HTTPS. When a check reports a change, it applies from your next AI request, as section 8 already said. This applies from the SQL Sage version that adds the periodic check; earlier versions check only at panel start and after a key is entered.
16 October 2026: section 1 now names the owners of the other companies' trademarks that this site mentions. This is an attribution notice only: your rights and obligations are unchanged, so the 13 October 2026 text is not archived separately.
Changes on 13 October 2026
- The free trial can only get longer. Its 30 days now begin with the first answer you receive from an AI feature of SQL Sage, or 14 days after you first open the SQL Sage panel, whichever comes first; until then all features are available. Before, they began when you first opened the panel. A trial that has already started keeps its start date, so this change never shortens a trial. It applies from SQL Sage 0.28.0 (section 8).
- When AI features stop. Section 8 said that license status is re-checked only when the panel starts. Since SQL Sage 0.20.5 it is checked at each AI request: when a trial or license ends, AI features stop at your next AI request and the free tools keep working. Section 8 now says so.
The version before these changes (19 August 2026) is archived here.
These Terms of Service and End-User License Agreement (the "Terms") govern your access to and use of the SQL Sage extension and related services. By installing or using SQL Sage, you agree to these Terms.

1Who these Terms are with
SQL Sage is provided by LUMA sp. z o.o. (trading as LumaSoft), ul. Gawronia 15, 04-785 Warszawa, Poland; KRS 0001244636, NIP PL9522285489, REGON 544875680 ("we", "us", "the vendor"). "You" means the individual or organisation using SQL Sage.
SQL Sage is an independent product and is not affiliated with, endorsed by, or sponsored by Microsoft, Anthropic, or OpenAI.
SQL Prompt and SQL Search are trademarks of Redgate Software Ltd; dbForge and SQL Complete are trademarks of Devart; other product names are trademarks of their owners and are used only to describe compatibility. SQL Sage is not affiliated with, endorsed or sponsored by them.
2The product
SQL Sage is a Windows extension for SQL Server Management Studio 22 — a developer productivity tool that provides an AI-assisted chat panel, query help, and an execution feature that classifies statements before they run. SQL Sage is bring-your-own-key (BYOK) developer tooling: we do not sell access to AI models or inference. You connect the extension to an AI provider using your own account (Anthropic's Claude or OpenAI's ChatGPT via the respective CLI) or your own API key.
3Acceptance & eligibility
By downloading, installing, or using SQL Sage, you accept these Terms. If you use SQL Sage on behalf of an organisation, you represent that you are authorised to bind that organisation. You must be at least 16 years old and legally able to enter into a contract.
4License grant
Subject to these Terms and payment of any applicable fees, we grant you a limited, non-exclusive, non-transferable, revocable license to install and use SQL Sage on the number of seats covered by your license, for your internal business or personal use.
Seats. One seat is one person, on all of their computers. A Personal license has 1 seat, Team 3 has 3 and Team 10 has 10, whether bought once or as a subscription. Seats work on trust: SQL Sage does not count seats, and keeping the number of people who use SQL Sage under your license within its seats is your responsibility.
Reassigning a seat. An organisation may reassign a seat from one person to another, for example when someone leaves the team or changes role; the person who gave up the seat then stops using SQL Sage under that license. Reassigning a seat within the organisation that bought the license is not a transfer of the license, which stays with that organisation.
- Perpetual (one-time) license: a license to use, indefinitely and subject to these Terms, every version of the SQL Sage extension for SSMS with a major version number of 1 or lower (all 0.x and 1.x releases), including versions released after your purchase. If version 2.0 is first released within 12 months of your purchase date, your license also covers every 2.x version. The major version number is the first number of the version (in 1.9.3 it is 1). Separately sold products and add-ons, and services whose running cost we bear (such as hosting or an AI key provided by us), are not included unless stated at the time of purchase; usage of your AI provider is never included.
- Subscription license: a license to use the latest version for as long as your subscription is active.
Seat counts, tier, and update entitlements are as stated at the time of purchase.
5Restrictions
You may not: (a) copy, distribute, sublicense, rent, lease, or resell SQL Sage except as expressly permitted; (b) reverse engineer, decompile, or disassemble the software except to the extent that applicable law expressly permits despite this limitation; (c) circumvent, disable, or tamper with licensing, trial, or security mechanisms; (d) remove or alter any proprietary notices; or (e) use SQL Sage to build a competing product.
6AI providers & third parties
SQL Sage works with third-party AI providers (Anthropic, OpenAI) and third-party tooling (the Claude Code and Codex CLIs), and requires SQL Server Management Studio, a Microsoft product. Your use of those products is governed by their own terms and policies, not ours. You are responsible for having a valid account, subscription, or API key with your chosen AI provider and for complying with that provider's usage terms and rate limits. We do not control, and are not responsible for, the availability, output, accuracy, or pricing of those third parties.
7Your responsibilities
You are responsible for: the credentials and connections you use; deciding what data (query text, schema metadata, and — only if you opt in — query results) is sent to your AI provider; complying with your organisation's data-handling policies; and the consequences of any SQL you choose to run. The "read-only by default" gate is a safeguard, not a guarantee against data loss.
8Trial, purchase & licensing
SQL Sage offers a 30-day free trial with no credit card required, unlocking all features. The trial is tracked on your machine. Its 30 days begin with the first answer you receive from an AI feature of SQL Sage (a chat reply or an AI code suggestion), or 14 days after you first open the SQL Sage panel, whichever comes first; until then all features are available. If your trial already started under the earlier rule — when you first opened the panel in a version of SQL Sage before 0.28.0 — it keeps that start date. When the trial ends, SQL Sage continues as SQL Sage Free and offers you a license to purchase; existing settings and history are retained.
Whether AI features are available is checked at each AI request. When your trial ends, or your license is no longer valid (a subscription past its end date and any offline grace period, or a license revoked — for example after a refund — once SQL Sage's online check reports it), AI features stop at your next AI request and the free tools keep working as SQL Sage Free. For an installed license, validation is performed over HTTPS when SSMS starts and loads SQL Sage, when the SQL Sage panel starts, after you enter a license key and about every 12 hours while SSMS stays open, and transmits only a license identifier, as described in our Privacy Policy. A reasonable offline grace period applies to subscriptions.
9Payments & the Merchant of Record
Purchases are sold and processed by Paddle, acting as Merchant of Record (MoR). This means Paddle is the seller of record for your transaction and is responsible for billing, collecting and remitting VAT/GST/sales tax, issuing invoices, and handling chargebacks and refunds. Your purchase is also subject to Paddle's own checkout terms, and your billing data is collected and controlled by Paddle rather than by us. Prices are shown at checkout and may change for future purchases.
10Refunds
Our refund terms are set out in full on the Refund Policy page. In summary: one-time/perpetual purchases carry a 14 days money-back guarantee; subscriptions can be cancelled anytime and remain active until the end of the paid period. Refunds are issued by Paddle as Merchant of Record. Nothing here limits any non-waivable statutory consumer rights (see section 18).
11Updates & changes
The extension checks for updates with anonymous HTTPS requests to a static version file, when the SQL Sage panel starts and about every 6 hours while SSMS stays open, as described in our Privacy Policy; you can turn these automatic checks off in the extension's settings. We may release updates, and we may modify, suspend, or discontinue features. For subscription licenses you receive the latest version while active; for perpetual licenses you receive every update through version 1.x, and version 2.x where section 4 says so. If we release version 2.0, we will publish before its release how long version 1.x will keep receiving security fixes.
Minimum supported version. We may set a minimum supported version of SQL Sage, for example when an AI provider or a security fix requires it. A version older than the minimum supported version may stop working, in whole or in part, until you update it; the update is free under your license. While perpetual licenses limited to version 1.x exist, the minimum supported version will never be higher than the latest 1.x release, so such a license can always run a supported version.
12Intellectual property
SQL Sage, including its software, design, and trademarks, is owned by us and our licensors and is protected by intellectual-property laws. These Terms grant you a license, not a sale of the software. All rights not expressly granted are reserved. You retain all rights to your own data and to any output produced by your AI provider, subject to that provider's terms.
13Disclaimer of warranties
To the maximum extent permitted by law, SQL Sage is provided "as is" and "as available", without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the software will be error-free or uninterrupted, or that AI-generated output will be accurate, complete, or suitable for your purpose.
14Limitation of liability
To the maximum extent permitted by law, we will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of data, profits, revenue, or business, arising out of or related to your use of SQL Sage — including any SQL executed against your database or any AI-generated output. Our total aggregate liability arising out of or related to these Terms will not exceed the amount you paid for SQL Sage in the twelve (12) months preceding the event giving rise to the claim.
Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law, including liability for death or personal injury caused by negligence, for fraud, or for any non-waivable consumer rights.
15Indemnity
You agree to indemnify and hold us harmless from claims, damages, and expenses arising out of your misuse of SQL Sage, your violation of these Terms, or your violation of any third party's rights or of your AI provider's terms — to the extent permitted by applicable law, and excluding matters caused by our own fault.
16Term & termination
These Terms apply while you use SQL Sage. We may suspend or terminate your license if you materially breach these Terms (including circumventing licensing or infringing our rights). Upon termination you must stop using and remove the software. Sections that by their nature should survive (including IP, disclaimers, limitation of liability, and governing law) survive termination.
17Governing law & disputes
These Terms are governed by the laws of Poland and, where applicable, the European Union, without regard to conflict-of-laws rules. Disputes are subject to the jurisdiction of the competent courts for our registered seat in Poland, except where mandatory consumer-protection law grants you the right to bring proceedings in your country of residence.
18Consumer rights
If you are a consumer in the European Union, you have statutory rights that these Terms do not affect, including rights relating to conformity of digital content and, subject to conditions, a statutory right of withdrawal. Where you expressly request that we begin supplying digital content immediately and acknowledge that you thereby lose the statutory right of withdrawal, that acknowledgement is captured at checkout by Paddle as Merchant of Record. See the Refund Policy.
19Changes to these Terms
We may update these Terms as the product evolves. We will update the "Last updated" date and, for material changes, take reasonable steps to notify you. Continued use after changes take effect constitutes acceptance.

Regulamin i licencja (wersja polska — informacyjnie)
Niniejszy regulamin i umowa licencyjna z użytkownikiem końcowym („Regulamin") regulują korzystanie z rozszerzenia SQL Sage. Instalując lub używając SQL Sage, akceptujesz Regulamin. Dostawcą jest LUMA sp. z o.o., ul. Gawronia 15, 04-785 Warszawa (KRS 0001244636, NIP PL9522285489, REGON 544875680).
Niezależność i znaki towarowe.
Poprzednia wersja: archiwum z 19 sierpnia 2026.
Wyłączenie odpowiedzialności i prawo właściwe. Niniejszy Regulamin nie narusza bezwzględnie obowiązujących praw konsumenta (m.in. zgodności treści cyfrowych i — z zastrzeżeniem warunków — prawa odstąpienia). Szczegóły zwrotów: strona Refund Policy.
