Terms of Service & End-User License Agreement

1Who these Terms are with

SQL Sage is provided by LUMA sp. z o.o., a company established in Poland with its registered seat at [REGISTERED ADDRESS] ("we", "us", "the vendor"). "You" means the individual or organisation using SQL Sage.

SQL Sage is an independent product and is not affiliated with, endorsed by, or sponsored by Microsoft, Anthropic, or OpenAI.

2The product

SQL Sage is a Windows extension for SQL Server Management Studio 22 — a developer productivity tool that provides an AI-assisted chat panel, query help, and an execution feature that classifies statements before they run. SQL Sage is bring-your-own-key (BYOK) developer tooling: we do not sell access to AI models or inference. You connect the extension to an AI provider using your own account (Anthropic's Claude or OpenAI's ChatGPT via the respective CLI) or your own API key.

3Acceptance & eligibility

By downloading, installing, or using SQL Sage, you accept these Terms. If you use SQL Sage on behalf of an organisation, you represent that you are authorised to bind that organisation. You must be at least 16 years old and legally able to enter into a contract.

4License grant

Subject to these Terms and payment of any applicable fees, we grant you a limited, non-exclusive, non-transferable, revocable license to install and use SQL Sage on the number of seats covered by your license, for your internal business or personal use.

• Perpetual (one-time) license: a license to use the versions released during your included update window, retained indefinitely subject to these Terms.
• Subscription license: a license to use the latest version for as long as your subscription is active.

Seat counts, tier, and update entitlements are as stated at the time of purchase.

5Restrictions

You may not: (a) copy, distribute, sublicense, rent, lease, or resell SQL Sage except as expressly permitted; (b) reverse engineer, decompile, or disassemble the software except to the extent that applicable law expressly permits despite this limitation; (c) circumvent, disable, or tamper with licensing, trial, or security mechanisms; (d) remove or alter any proprietary notices; or (e) use SQL Sage to build a competing product.

6AI providers & third parties

SQL Sage works with third-party AI providers (Anthropic, OpenAI) and third-party tooling (the Claude Code and Codex CLIs), and requires SQL Server Management Studio, a Microsoft product. Your use of those products is governed by their own terms and policies, not ours. You are responsible for having a valid account, subscription, or API key with your chosen AI provider and for complying with that provider's usage terms and rate limits. We do not control, and are not responsible for, the availability, output, accuracy, or pricing of those third parties.

7Your responsibilities

You are responsible for: the credentials and connections you use; deciding what data (query text, schema metadata, and — only if you opt in — query results) is sent to your AI provider; complying with your organisation's data-handling policies; and the consequences of any SQL you choose to run. The "read-only by default" gate is a safeguard, not a guarantee against data loss.

8Trial, purchase & licensing

SQL Sage offers a 30-day free trial with no credit card required, unlocking all features. The trial is tracked on your machine and begins when you first open the panel. When the trial ends, the extension will prompt you to purchase; existing settings and history are retained. License validation is performed periodically over HTTPS and transmits only a license identifier, as described in our Privacy Policy. A reasonable offline grace period applies, and license status is only re-checked at panel start — never mid-session.

9Payments & the Merchant of Record

Purchases are sold and processed by our payments provider, acting as Merchant of Record (MoR). This means the MoR is the seller of record for your transaction and is responsible for billing, collecting and remitting VAT/GST/sales tax, issuing invoices, and handling chargebacks and refunds. Your purchase is also subject to the MoR's own checkout terms. Prices are shown at checkout and may change for future purchases.

10Refunds

Our refund terms are set out in full on the Refund Policy page. In summary: one-time/perpetual purchases carry a 14 days money-back guarantee; subscriptions can be cancelled anytime and remain active until the end of the paid period. Refunds are processed by the Merchant of Record. Nothing here limits any non-waivable statutory consumer rights (see section 18).

11Updates & changes

The extension may check for updates via a single anonymous HTTPS request to a static version file. We may release updates, and we may modify, suspend, or discontinue features. For subscription licenses you receive the latest version while active; for perpetual licenses you receive updates released during your included update window.

12Intellectual property

SQL Sage, including its software, design, and trademarks, is owned by us and our licensors and is protected by intellectual-property laws. These Terms grant you a license, not a sale of the software. All rights not expressly granted are reserved. You retain all rights to your own data and to any output produced by your AI provider, subject to that provider's terms.

13Disclaimer of warranties

To the maximum extent permitted by law, SQL Sage is provided "as is" and "as available", without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the software will be error-free or uninterrupted, or that AI-generated output will be accurate, complete, or suitable for your purpose.

14Limitation of liability

To the maximum extent permitted by law, we will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of data, profits, revenue, or business, arising out of or related to your use of SQL Sage — including any SQL executed against your database or any AI-generated output. Our total aggregate liability arising out of or related to these Terms will not exceed the amount you paid for SQL Sage in the twelve (12) months preceding the event giving rise to the claim.

Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law, including liability for death or personal injury caused by negligence, for fraud, or for any non-waivable consumer rights.

15Indemnity

You agree to indemnify and hold us harmless from claims, damages, and expenses arising out of your misuse of SQL Sage, your violation of these Terms, or your violation of any third party's rights or of your AI provider's terms — to the extent permitted by applicable law, and excluding matters caused by our own fault.

16Term & termination

These Terms apply while you use SQL Sage. We may suspend or terminate your license if you materially breach these Terms (including circumventing licensing or infringing our rights). Upon termination you must stop using and remove the software. Sections that by their nature should survive (including IP, disclaimers, limitation of liability, and governing law) survive termination.

17Governing law & disputes

These Terms are governed by the laws of Poland and, where applicable, the European Union, without regard to conflict-of-laws rules. Disputes are subject to the jurisdiction of the competent courts for our registered seat in Poland, except where mandatory consumer-protection law grants you the right to bring proceedings in your country of residence.

18Consumer rights

If you are a consumer in the European Union, you have statutory rights that these Terms do not affect, including rights relating to conformity of digital content and, subject to conditions, a statutory right of withdrawal. Where you expressly request that we begin supplying digital content immediately and acknowledge that you thereby lose the statutory right of withdrawal, that acknowledgement is captured at checkout by the Merchant of Record. 19Changes to these Terms

We may update these Terms as the product evolves. We will update the "Last updated" date and, for material changes, take reasonable steps to notify you. Continued use after changes take effect constitutes acceptance.
